VSP Vision is not-for-profit vision benefits and services company, and we're looking for a Lead Staff Attorney, Mergers and Acquisitions for our General Counsel Office. In this role, you'll assist the General Counsel in advising company executives concerning the legal aspects related to mergers and acquisitions and various related legal issues. You'll work cross-functionally with business partners and external counsel to oversee multifaceted M&A efforts, evaluate and manage legal impacts, and ensure transactions meet company objectives in a cost-effective and efficient matter. We're looking for a candidate with at least five years of experience working in M&A with the ability to juggle multiple priorities and deadlines while partnering with high-level stakeholders.
In this role, you'll also:
· Provide guidance and recommendations to business partners on appropriate current and pending legislation.
· Provide counsel on-related disputes, including managing external counsel where appropriate and coordinating with appropriate internal teams to defend such matters.
· Partner with Human Resources to ensure management policies and programs are consistently practiced. Advise the business in maintaining workplace policies, procedures, and employment documents that comply with federal, state, and local employment laws.
· Negotiate commercial contracts with external partner industry vendors to support the business strategy.
· Review and monitor law developments, advise HR as necessary, and address potential impact and risk to the company.
Juris Doctor degree and a minimum of five year's work experience
· Previous M&A experience is required; healthcare experience is a plus
· Ability to resonate with lawyers (no billable hours)
· Excellent analytical, written, verbal, research, and communication skills
· Ability to work with a team of diverse individuals and work collaboratively
· Excellent judgment and ability to assess risks, protect the company's interests; keen business acumen
Preferred Skills:
· Big law experience working at an AM Law 100 law firm on M&A transactions
· Experience leading legal support for domestic and international clients with a variety of corporate matters, including joint ventures, the sale and acquisition of businesses, etc.
· Experience with the entire M&A process: pre-planning, target screening, NDA, LOI, legal diligence, drafting and negotiating definitive purchase agreements, employment agreements, leases and all other documents (including financing), regulatory filings, making sure the deal successfully close, post-integration, etc.
