ROLE SUMMARY
The In-House Counsel provides comprehensive legal support to Woodsonia Real Estate, Inc. This role involves managing legal matters related to property acquisitions, sales, leases, and other commercial real estate transactions. You will work closely with various departments to ensure legal compliance, mitigate risks, and support the company’s business objectives. This role requires collaboration, accuracy, and the ability to work in a high volume, fast-paced, team environment.
KEY AREAS OF RESPONSIBILITIES
Transactional Legal Support and Contract Management 70% of time
Provide legal advice on all aspects of commercial real estate transactions, including acquisitions, sales, leasing, joint ventures, and financing.
Draft, review, and negotiate a wide range of legal documents, including purchase and sale agreements, lease agreements, joint venture contracts, operating agreements, and financing documents.
Conduct thorough review and analysis of due diligence documents, including title documents, surveys, environmental assessments, and zoning reports.
Handle resolution of title and survey matters pertaining to property sale and acquisition transactions.
Coordinate and oversee closing processes with respect to sale, acquisition, and financing transactions (ranging from small transactions to large, complex, multi-party transactions), ensuring accurate documentation and regulatory compliance.
Maintain and organize legal documents and contracts for easy access and audit readiness.
Research, Advisory, and Stakeholder Management 20% of time
Conduct legal research on emerging industry issues, including zoning laws, environmental regulations, and legislative changes.
Analyze legal precedents, statutes, and regulations to assess potential impacts on the company’s operations and transactions.
Provide strategic recommendations and proactive guidance to senior leadership.
Collaborate with internal team members, including executives, to align legal strategies with business objectives.
Negotiate and maintain beneficial relationships with strategic partners to support business growth.
Litigation, Compliance, and Risk Management 10% of time
Oversee litigation and dispute resolution, including mediation, arbitration, and settlement negotiations.
Coordinate with external legal counsel and manage litigation budgets.
Ensure compliance with relevant local, state, and federal laws and regulations.
Develop and implement contract management processes, including contract lifecycle management systems.
Identify potential legal risks and develop strategic mitigation solutions.
Monitor industry trends and legislative changes to proactively manage legal risks.
